Board Diversity

To ensure fair, impartial, and transparent election of directors, ADLINK has established the “Board Election Procedures” in accordance with the Corporate Governance Best Practice Principles for TWSE/TPEx Listed Companies, which govern the selection of the company’s directors.
The highest governance body of ADLINK is the Board of Directors, currently composed of nine directors (including five independent directors). Among them, one independent director and one director are female, all elected by shareholders. The company relies on the directors’ diverse professional backgrounds, extensive academic and work experience, advanced technological foresight, and insight into international market dynamics.
Excluding four corporate directors, all members have over five years of experience in business, legal, financial, accounting, or other relevant company operations. The diverse composition of the board supports robust corporate governance, oversight, appointment and guidance of company executives, facilitates technical R&D exchange, enhances management capabilities, and drives effective operations across economic, social, and environmental aspects of the company, ultimately aiming to maximize stakeholder value.
The specific management objectives and achievements of the board diversity policy are as follows:

Board Independence

The Company has established the number of directors in accordance with applicable laws and its Articles of Incorporation. A candidate nomination system is adopted, under which shareholders elect directors from a list of nominees. Directors serve a three-year term and are eligible for re-election. The number of independent directors shall not be fewer than two and must represent at least one-fifth of the total board seats. The acceptance of director nominations and other required procedures are handled in accordance with the Company Act, the Securities and Exchange Act, and related regulations.
The roles of CEO and Chairman of the Board are currently held by the same person. To enhance board independence, the number of independent director seats was increased during the 2025 board re-election.
